Terms of Service

These Terms of Service (the “Terms”) govern your access to and use of the websites, applications, products, and services provided by Innovation Bridge Holdings LLC (“Innovation Bridge,” “we,” “our,” or “us”), including the website at innovationbridgellc.com (collectively, the “Services”).

By accessing or using the Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not access or use the Services.

Innovation Bridge operates as a digital product studio that designs, develops, and offers software products, tools, and subscription services to businesses and individuals. The features and functionality of the Services may be updated, modified, or discontinued at any time, with or without notice.

Some Services may be offered as software-as-a-service subscriptions, while others may be available as one-time digital purchases. Specific terms applicable to a particular product may be communicated at the time of purchase or sign-up.

You must be at least 18 years of age (or the age of majority in your jurisdiction) to use the Services. By using the Services, you represent and warrant that you meet this requirement and that you have the legal capacity to enter into these Terms.

Some features of the Services require you to create an account. You agree to:

• Provide accurate, current, and complete information during registration.
• Maintain and promptly update your information to keep it accurate.
• Maintain the confidentiality of your account credentials and not share them with any third party.
• Be responsible for all activities that occur under your account.
• Notify us promptly of any unauthorized use of your account or any other breach of security.

Certain Services are offered on a paid subscription basis or as one-time purchases. Fees, billing cycles, and renewal terms will be disclosed at the point of purchase. Unless stated otherwise, subscription fees are billed in advance on a recurring basis and renew automatically until canceled.

Payments are processed by third-party payment providers, including Stripe. By providing payment information, you authorize us and our payment providers to charge the applicable fees and any taxes to your designated payment method. All fees are non-refundable except as required by law or as expressly stated by us.

All content, software, designs, trademarks, and other materials made available through the Services are owned by Innovation Bridge or its licensors and are protected by United States and international intellectual property laws. Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for their intended purposes.

You may not copy, modify, distribute, sell, or create derivative works of any part of the Services without our prior written consent, except as expressly permitted by these Terms or applicable law.

You agree not to use the Services to:

• Violate any applicable law, regulation, or third-party rights.
• Engage in any fraudulent, deceptive, or misleading activity.
• Attempt to gain unauthorized access to the Services, other accounts, or related systems.
• Interfere with or disrupt the integrity, performance, or security of the Services.
• Reverse engineer, decompile, or disassemble any portion of the Services, except as permitted by law.
• Use the Services to transmit viruses, malware, or other harmful code.
• Scrape, harvest, or collect information from the Services through automated means without our prior written permission.
• Use the Services in a manner that could damage, disable, or impair them, or interfere with any other party's use.

If the Services allow you to submit content, you retain ownership of such content. By submitting content, you grant Innovation Bridge a worldwide, non-exclusive, royalty-free license to use, host, store, and display that content solely as necessary to provide and improve the Services.

You are solely responsible for the content you submit and warrant that you have all rights necessary to submit it and that it does not violate any law or third-party rights.

The Services are provided “as is” and “as available” without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranties arising out of course of dealing or usage of trade. We do not warrant that the Services will be uninterrupted, error-free, secure, or free of harmful components.

To the maximum extent permitted by applicable law, in no event shall Innovation Bridge, its affiliates, officers, employees, agents, or licensors be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation loss of profits, revenue, data, goodwill, or other intangible losses, arising out of or related to your use of, or inability to use, the Services.

Our total cumulative liability for any claim arising out of or relating to these Terms or the Services shall not exceed the greater of (a) the amounts paid by you to Innovation Bridge for the applicable Service in the twelve (12) months preceding the event giving rise to the liability, or (b) one hundred U.S. dollars (US$100).

You agree to defend, indemnify, and hold harmless Innovation Bridge and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to (a) your use of the Services, (b) your violation of these Terms, (c) your violation of any law or third-party right, or (d) any content you submit through the Services.

We may suspend or terminate your access to all or part of the Services at any time, with or without notice, for any reason, including if we believe you have violated these Terms. You may terminate your use of the Services at any time by discontinuing use and, where applicable, canceling your account.

Provisions of these Terms that by their nature should survive termination will survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

These Terms and any disputes arising out of or related to them or the Services are governed by the laws of the State of New Mexico, USA, without regard to its conflict of laws principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

Any dispute, claim, or controversy arising out of or relating to these Terms or the Services shall be resolved through binding arbitration on an individual basis, except that either party may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property rights. Arbitration shall be conducted in the State of New Mexico, in the English language, in accordance with applicable arbitration rules.

You and Innovation Bridge agree that each may bring claims against the other only in an individual capacity and not as a plaintiff or class member in any purported class or representative proceeding.

We may update these Terms from time to time. When we make material changes, we will revise the “Effective date” above and, where appropriate, notify you through our website or by other reasonable means. Your continued use of the Services after the effective date of any update constitutes acceptance of the revised Terms.

These Terms, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and Innovation Bridge regarding the Services and supersede all prior agreements. If any provision is held to be unenforceable, the remaining provisions will continue in full force and effect. Our failure to enforce any provision is not a waiver of that provision.
